Terms of Service

1. The Service

Pro Headshot Photos provides an AI-powered professional headshot generation service (“Service”). You upload selfie photographs; our AI systems generate studio-quality professional headshots based on those inputs. The Service is accessed via proheadshotphotos.com.

2. Acceptance of Terms

By creating an account, making a purchase, or uploading photographs, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

3. Eligibility

• You must be at least 18 years of age to use the Service.
• You must have the legal capacity to enter into a binding contract under Indian law.
• You represent that the photographs you upload are of yourself or individuals who have provided explicit, informed consent for this use.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@proheadshotphotos.com of any unauthorised use.

5. Payments & Fees

• All prices are displayed in United States Dollars (USD).
• Payment is processed by Razorpay. By completing a purchase you also agree to Razorpay’s terms and privacy policy.
• Plans are one-time payments. There are no recurring charges or automatic renewals unless you explicitly purchase an additional plan.
• Applicable taxes (including GST) may be added at checkout depending on your location.
• Refunds are governed by our Refund Policy.

6. Intellectual Property & Commercial Licence

6.1 Our Rights

All technology, software, models, algorithms, brand assets, and content comprising the Service (excluding your generated headshots) are owned by or licensed to us and are protected by applicable intellectual property laws.

6.2 Your Licence to Generated Headshots

Upon successful generation and payment, we grant you a perpetual, worldwide, royalty-free, non-exclusive commercial licence to use, reproduce, distribute, display, and modify your generated headshots for any lawful purpose, including commercial use (e.g. LinkedIn profiles, press kits, websites, business cards, marketing materials).

You retain ownership of your uploaded selfies. We do not claim any ownership over your generated headshots.

6.3 Licence to Process Your Photographs

You grant us a limited, non-exclusive, revocable licence to process your uploaded photographs solely for the purpose of generating your headshots and operating the Service. This licence terminates upon deletion of your data in accordance with our Privacy Policy.

7. Prohibited Uses

You agree not to use the Service to:

• Generate headshots of any person other than yourself without their explicit, written consent.
• Create content intended to impersonate, defame, harass, or defraud any individual or entity.
• Produce deepfakes, non-consensual intimate imagery, or any content that violates another person’s dignity or privacy.
• Generate content depicting individuals under 18 years of age.
• Circumvent, disable, or otherwise interfere with the security features of the Service.
• Resell, sublicense, or redistribute the Service itself (as distinct from your generated headshots).
• Use the Service in any manner that violates applicable law, including the Information Technology Act 2000 and the DPDP Act 2023.
• Upload photographs of third parties without their knowledge and consent.

8. AI Limitations & No Guarantee

AI-generated headshots may not always be perfect. Results depend on the quality and variety of your uploaded selfies, and individual outputs may vary. We do not guarantee that generated images will be free from imperfections, artefacts, or inaccuracies.

Our Refund Policy provides recourse where generation fails technically or where you are unsatisfied within the satisfaction window.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid for the specific order giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Pro Headshot Photos and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Service.

12. Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, if you violate these Terms or if we are required to do so by law. Termination does not entitle you to a refund except as provided in our Refund Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India.

Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days.

14. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
• Changes: We may update these Terms. Material changes will be communicated via email at least 15 days in advance. Continued use constitutes acceptance.
